2. Services Offered

NGPX provides:

  • Technology consulting services
  • Digital transformation solutions

  • Software development services
  • Managed IT services

3. Contract Formation

Under German law (§§ 145-157 BGB):

  1. Service listings are invitations to treat
  2. Your order constitutes an offer
  3. We confirm receipt within 48 hours
  4. Contract forms upon our acceptance
  5. Order confirmation sent by email

Electronic Commerce: Compliant with E-Commerce Directive 2000/31/EC.

5. Pricing and Payment Terms

5.1 Prices:

  • All prices in EUR unless specified otherwise
  • Consumer prices include VAT (19% German MwSt)
  • Business prices shown exclude VAT
  • Price changes with 30 days notice for ongoing services

5.2 Payment Methods:

  • Bank transfer (SEPA)
  • Credit card (Visa, Mastercard)
  • Stripe
  • Wise
  • PayPal (subject to PayPal terms)
  • Direct debit (SEPA mandate required)
  • Purchase order (approved businesses only)

5.3 Payment Terms:

  • Consumers: Payment due upon order
  • Businesses: Net 14 days unless agreed otherwise
  • Late payment: Legal interest rate (§ 288 BGB)
  • Service suspension after 30 days overdue

8. Data Protection

GDPR Compliance:

  • Full GDPR compliance guaranteed
  • Data Processing Agreement available
  • ISO 27001 compliant
  • Privacy by Design implementation

9. Confidentiality

Both parties agree to:

  • Maintain strict confidentiality
  • Use information only for contract purposes
  • Apply reasonable security measures
  • Return/delete confidential data upon termination

NDAs available upon request.

12. Termination

12.1 Ordinary Termination:

  • Monthly contracts: 30 days notice
  • Annual contracts: 3 months notice
  • Projects: Upon completion
  • Trial periods: Immediate

12.2 Extraordinary Termination:

  • Material breach after warning
  • Insolvency proceedings
  • Payment default > 60 days
  • Illegal use of services

13. Force Majeure

Neither party liable for:

  • Natural disasters
  • War, terrorism, civil unrest
  • Government actions
  • Pandemic restrictions
  • Infrastructure failures beyond control

Obligations: Prompt notification and mitigation efforts required.
